Terms & conditions.
A clear starting point for working together.
Free intake, usage-based services, and the agreements that define your engagement.
Scope and agreement
These terms govern use of the Cirql website and requests to explore our services. A signed order, service agreement, and applicable data processing agreement govern a paid or managed deployment. If they conflict with these website terms, the signed agreement controls for that engagement.
You must be authorized to submit business information and enter an agreement for the organization you represent.
Context as a Service
Cirql can connect authorized sources, ingest and structure records, generate embeddings, create business ontologies and context graphs, store and synchronize information, and expose approved context through APIs, MCP connections, or other agreed interfaces. Custom software, assessments, agents, and support may be added under an agreed scope.
Connection availability, supported objects, data quality, source API limits, and customer permissions affect what can be ingested and how often it can be refreshed. Real-time synchronization is available only where supported and agreed.
Getting started for free
“Get started for free” means the initial inquiry, needs review, and starting plan are free. No payment card is required to submit the form, and the form does not automatically create a paid account or authorize billing.
Free intake does not include unlimited hosting, ingestion, embeddings, custom integrations, or development. Any included trial credits or processing allowance must be stated separately in writing. Paid activity begins only after the customer approves the applicable scope and rates.
Pay-as-you-go usage and fees
Storage and embedding are separate usage-based charges. The accepted order specifies rates, currency, billing units, measurement method, billing cycle, any minimums or allowances, and applicable taxes. No specific per-unit rate or included allowance is promised by this website.
Storage can include retained source content, embeddings, graph information, and other agreed data. Storage charges can continue while data remains retained, even if queries or syncing are paused. Embedding charges apply to content processed, including reprocessing of new or changed content when needed.
Connector setup, historical ingestion, custom parsing, model inference, retrieval, data export, and ongoing management or support may incur additional charges only as disclosed in the accepted scope. Custom builds are priced separately.
We explain proposed rate changes before they apply; changes are not retroactive. Usage reports, invoice timing, payment terms, cancellation arrangements, and any spending limits are set out in the order. Contact us promptly with a billing question.
Customer data and authorization
You retain ownership of your source data. You grant Cirql and the providers used for your engagement the rights needed to process it for the agreed service, including creating and maintaining embeddings, relationships, and other derived context. Ownership and export formats for customer-specific derived data are described in the service agreement.
You are responsible for having the rights, notices, and permissions required to connect systems and share information about employees, customers, and others. Do not submit passwords, API keys, or confidential records through the public inquiry form. Regulated or highly sensitive datasets require a separately agreed scope and safeguards.
Agencies, consultants, and partners
Partner pricing, including discounted storage or embedding rates, requires an accepted partner agreement. Eligibility, committed or aggregate usage, rates, and responsibility for charges are defined there; no automatic discount is created by submitting a form.
Partners must have each client’s authorization to connect and process its information. Client contexts and access must remain separate unless the relevant clients expressly authorize a shared use. A partner relationship does not grant rights to reuse one client’s confidential information for another client.
The partner agreement defines account administration, the contracting and paying party, client data rights, approved subcontracting, support, and export or handover when a client or partner leaves. White-label or resale rights and Cirql build assistance require an agreed scope.
Tools, AI outputs, and customer responsibilities
You are responsible for choosing authorized users and tools, protecting your credentials, reviewing access settings, and promptly reporting unauthorized access. Connecting a tool does not grant permission beyond its configured access.
AI outputs and graph relationships may be incomplete, stale, or wrong. Embeddings and retrieval do not create an unlimited model context window or guarantee that every relevant record will be found. Review material recommendations and outputs before relying on them.
Actions such as sending messages, placing orders, changing records, or making consequential decisions require separately configured action tools and appropriate customer authorization. Retrieval access alone is not authorization to execute transactions.
Ending service and handling data
Cancellation, final metered usage, exports, retention, and deletion are governed by the accepted agreement. Contact hello@cirql.ai to arrange cancellation or discuss an export.
Stopping a connection does not automatically delete imported or derived information. Agree on how source records, embeddings, graph data, logs, caches, and backups will be handled when service ends. Charges already incurred remain payable subject to the agreement and applicable law.
Builds, ownership, and ROI guarantee
Custom-build scope, acceptance, support, and code ownership are set out in the service agreement. Unless otherwise agreed in writing, clients own the specific instance of custom code built for their business. Cirql retains general methods, frameworks, and non-client-specific components; third-party components retain their own licenses.
For an eligible Cirql build, the AI ROI guarantee refunds 100% of the eligible build fee if we cannot produce and prove the ROI agreed in writing before work starts. That agreement defines the baseline, target, measurement period, required participation, evidence, and eligibility. Storage, embedding, ingestion, and other usage fees are separate and are not included in the build-fee guarantee.
Acceptable use and third-party services
Use the website and services lawfully. Do not attempt unauthorized access, disrupt service, introduce malicious content, violate others’ rights, or bypass access or usage controls. Cirql may restrict access to address misuse or a security issue, subject to the applicable agreement.
Our site content belongs to Cirql or its licensors. Source-application logos identify example integrations and do not imply endorsement. Hosting, email delivery, source APIs, AI tools, and analytics providers have their own terms; their availability or changes may affect the service.
Privacy and confidentiality
Our Privacy Policy explains website and inquiry processing. The service agreement and any data processing agreement establish customer-data instructions, confidentiality, security responsibilities, and applicable provider arrangements. Submitting the inquiry form authorizes a response about your request, not an unrelated marketing subscription.
Disclaimers and liability
The website and its content are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by law. Cirql does not warrant uninterrupted or error-free website operation.
To the fullest extent permitted by law, Cirql is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website or services. Cirql’s total liability for a website claim shall not exceed the amount paid to Cirql during the twelve months preceding the claim. Service-specific warranties, remedies, and liability provisions are governed by the signed service agreement. Nothing excludes liability or rights that cannot lawfully be excluded.
Indemnification and governing law
You agree to indemnify and hold harmless Cirql, its officers, employees, and agents from claims, losses, and reasonable expenses arising from your unlawful use of the website or violation of these terms, to the extent permitted by law.
These terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Disputes under these terms shall be resolved in courts located in Texas, subject to applicable mandatory law and any controlling service agreement.
Changes and contact
We may revise these terms and update the date above. Additional notice will be provided where required. A change to these website terms does not retroactively change an accepted paid order.
